1.General

1.1 These general terms and conditions apply to all offers, agreements and deliveries of services by Zeno Tour & Event Support, a sole proprietorship based in Gemert, which specializes in tour management, festival transport, artist transport, organizing transport for events and by providing stage, runner, shuttle and front stage crew.
1.2 Deviations from these general terms and conditions are only binding if and insofar as they have been agreed in writing.

2. Services

2.1 Zeno Tour & Event Support provides the following services:
• Tour management
• Festival transport
• Artist & VIP transport
• Transport with vans, trucks and shuttle buses
• Delivery of runners, stage crew & drivers.
2.2 An agreement is concluded after approval of the assignment, both verbally and in writing, by the client and/or Zeno Tour & Event Support or when the execution of the assignment has started.

3. Prices and Payment

3.1 All prices are exclusive of VAT and other levies imposed by the government.
3.2 Payment must be made within 14 days of the invoice date, unless otherwise agreed in writing.
3.3 In the event of late payment, the client is in default by operation of law and a default interest of 1% per month is due, as well as all reasonable costs to obtain payment out of court.

4. Cancellation and Changes

4.1 Cancellation of an order by the client must be made in writing.
4.2 In case of cancellation within 7 days before the start of the service, the customer will owe 50% of the agreed price. In case of cancellation within 48 hours before the start, the customer will owe the full price.
4.3 Changes to the order by the customer may incur additional costs and will be confirmed in writing by Zeno Tour & Event Support.

5. Liability

5.1 Zeno Tour & Event Support is not liable for damage, of whatever nature, caused by Zeno Tour & Event Support as a result of incorrect and/or incomplete information provided by or on behalf of the customer.
5.2 Zeno Tour & Event Support is only liable for direct damage that is the direct result of intent or gross negligence on the part of Zeno Tour & Event Support.
5.3 In the event of a demonstrable liability on the part of Zeno Tour & Event Support, this liability is limited to the amount corresponding to the value of the relevant service for which the liability is claimed, with a maximum of the amount paid out by the liability insurance of Zeno Tour & Event Support in the case in question.
5.4 Zeno Tour & Event Support is not liable for indirect damage, including consequential damage, loss of profit, lost savings and damage due to business interruption.
5.5 Damage to hired vehicles that are driven by the Client’s own staff or volunteers is fully at the responsibility of the Client.
5.6 Hired workers or third parties are themselves liable for damage or additional costs that arise in the execution of the assignment.

6. Force majeure

6.1 Zeno Tour & Event Support is not obliged to fulfil any obligation if it is prevented from doing so as a result of force majeure.
6.2 Force majeure is understood to mean all external causes, foreseen or unforeseen, over which Zeno Tour & Event Support has no influence, but as a result of which Zeno Tour & Event Support is unable to fulfil its obligations. This includes, but is not limited to:
• Delays due to traffic conditions or logistical limitations;
• Breakdown of vehicles or other technical defects;
• Incorrect or incomplete information provided by the client;
• Powerlessness and/or last-minute changes to the assignment;
• An incorrect number of passengers or a different amount of baggage;
• Other unforeseen circumstances beyond the control of Zeno Tour & Event Support.

7. Governing Law and Disputes

7.1 All legal relationships to which Zeno Tour & Event Support is a party are exclusively governed by Dutch law.
7.2 Disputes will be submitted to the competent court in the district where Zeno Tour & Event Support is located, unless the law prescribes otherwise.

8. Final provision

8.1 If any provision of these general terms and conditions is null and void or is annulled, the remaining provisions shall remain in full force and effect. Zeno Tour & Event Support and the customer will then consult with each other to agree on new provisions to replace the null and void or voided provisions, taking into account the purpose and purport of the original provision as much as possible.
8.2 Zeno Tour & Event Support is entitled to change these general terms and conditions at any time. The amended terms and conditions will enter into force at the announced time. Zeno Tour & Event Support will send the amended terms and conditions to the customer in a timely manner. If no date of entry into force has been notified, the changes will take effect with respect to the customer as soon as the change has been notified to him.
